GENERAL TERMS AND CONDITIONS

Welcome to Joolar.com! We have been creating and maintaining this Website as a service to our visitors and members. By using this Website, you are agreeing to comply and be bound by the terms and conditions fixed in this “Agreement”. This Agreement represent the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content and computer programs provided by or through the Site, and the subject matter of this Agreement. 

Services Offered by Joolar

Joolar.com provides an online service where:

• -sellers may advertise their Website for sale whether by way of a Private Sale or an Auction;
• -buyers may, via Joolar.com, contact Sellers to offer to purchase their Websites; and buyers may bid in Auctions conducted by Sellers.

You may use the Services in the capacity as a Seller, Buyer or both a Seller and a Buyer. The terms and conditions of this Agreement will apply to your use of the Services in either or both of those capacities.

Creating a User Account

By creating a user account to use Joolar.com' services you agree with following:

• -to keep confidential and secure any username or password used to access your User Account;
• -warrant that all information provided to Joolar in the setup of your User Account is true and correct in every detail;
• -you are at least 18 years of age or older;
• -to only maintain one User Account in relation to your use of the Services and Joolar.com;
• -to provide Joolar.com with all identification documents which Joolar.com requests from you from time to time for the purposes of verifying your identity.

You also agree you will not:

• -resell or sublicense the use of Joolar.com or your User Account to any other person;
• -use your User Account in a fraudulent or illegal manner;for sending advertising, chain letters, junk, deliver viruses, spyware, malware or other harmful, disruptive, or destructive files;
• -use your User Account in such a way which damages Joolar.com or denies access to Joolar.com to other users of Joolar.com;
• -cancel an Auction initiated by you for the purpose of contracting separately with a Buyer you meet through Joolar.com which results in you avoiding paying Joolar.com any Fees (including a Success Fee). In these circumstances, without limiting Joolar.com remedies against you, Joolar.com may recover its lost Fees from you by suspending your User Account and/or deducting its loss from any Joolar.com Credits in your User Account.

About private sale or action

Joolar.com reminds you that your participation as a Buyer or Seller in a Private Sale or Auction will at all times be governed by the Rules. You may, as a seller, advertise you website for sale via a Private Sale or an Auction. You have no permission to change the type of sale from Auction to Private Sale (or vice versa) once the Listing has been posted on Joolar.com. You can sell only websites which you own and which you are entitled to sell. You are restricting from placing listings on Joolar.com which are obscene, contain material which infringes the Intellectual Property Rights of a third party and are engaged in activities which contravene the law of any territory. Once you listed your website for sale on Joolar.com you must specify all details requested by Joolar.com in relation to the Auction and sell your Website to the Winning Bidder.

Any Website listed for sale on Joolar.com must offer for sale:

• -all files contained in the Website including html code, other source code, logos, images, music, animation, films and other media;
• -one or more domain names for the Website which must be transferable to another registrar; and if specified by the Seller, all of the Seller's rights and obligations in relation to any Third Party Agreements.

Joolar.com's role in relation to Auctions and Private sales

You agree that by using the Services (either as Seller or Buyer) that Joolar.com, in providing the Services and your access to Joolar.com, is providing a platform for you to be introduced to other Sellers or Buyers (as the case may be). Joolar.com is not a party to any transaction or agreement between any Seller or Buyer and is not responsible for any act or omission of any Seller or Buyer.

Payments

In order to make a payment, the buyer adds funds to his/her account through Paypal or Credit Card.The funds are considered as Virtual Currency which may or may not be equal to real currency. The Buyer then clears off the invoice with the added Credits. The project is set as ‘In progress’. In the meantime the seller and buyer may continue discussion and post milestones about the project. Further invoices may also be generated as required. Project is set as Completed only after approval from both ends. The buyer may also open disputes just like Paypal.

Suspention of the services

You agree that Joolar.com may suspend your User Account and your use of the Services at any time, with or without notice to you, and for any reason in its sole and absolute discretion, including if:

• -Joolar.com considers that you have breached any of your obligations to Joolar.com under this Agreement;
• -Joolar.com considers that you are using your User Account in bad faith or to collude in any way to reduce the amount of Fees that would ordinarily be payable to Joolar.com;
• -you are using your User Account or the Services for illegal or fraudulent means or in a manner which Joolar.com in its sole discretion considers offensive, unlawful, harassing, libellous, defamatory, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable;
• -If Joolar.com has reasonable grounds to believe that you are a repeat infringer of copyright or other Intellectual Property Rights.

For the avoidance of doubt, you may not make withdrawals of, or spend any Joolar.com Credits during any period of suspension of your User Account. Further Joolar.com may in its discretion retain the balance of all Joolar.com Credits in your account towards compensating Joolar.com for any loss and damage it may have suffered as a result of your breach of this Agreement which lead to the User Account suspension.

Joolar.com'users general obligations:

• -you will not use the Services for any illegal purpose or for any purpose other than prticipating in auctions as a seller or buyer;
• -you warrant that you will not, by engaging Joolar.com to provide the Services, place Joolar.com in breach of any law or obligation owing to a third party;
• -you will not undertake any act or cause any omission which will bring Joolar.com, its brand or other Sellers and Buyers into disrepute;
• -you will provide Joolar.com with all information requested by Joolar.com which Joolar.com requires to provide the Services.

Privacy

Joolar.com will collect your personal information including your name, contact details and payment details (including, without limitation, credit card details) ("Personal Information"). All Personal Information will be handled, used, maintained and disclosed by Joolar.com in accordance with all applicable privacy laws and data protection laws as well as its privacy policy which applies from time to time.

Term and Termination

This agreement will start on the date you first create a user account with Joolar.com and will end up once the user account closed or you otherwise permanently cease using the services.

This Agreement and your User Account may be terminated by Joolar at any time for any reason whatsoever with or without notice to you.
